As part of the broader PIEDAP platform, GRCNest integrates with enterprise systems, cloud environments, and compliance frameworks to provide real-time control monitoring, evidence validation, and AI-driven risk intelligence. The PIEDAP platform serves as a unified, scalable foundation supporting multiple enterprise applications, ensuring seamless orchestration of governance, quality, and compliance processes across the organization.

The product is designed for business professionals and enterprise clients, and its access may be limited based on licensing and contractual agreements.

By accessing, registering for, or using the GRCNest.ai product and related services, you acknowledge that you are at-least 18 years of age, you have read, understood, and agree to be bound by these Terms of Use, as well as any applicable policies referenced herein, including the Privacy Policy. GRCNest is an AI-powered Governance, Risk, and Compliance (GRC) product built on the PIEDAP (Pion Intelligent Enterprise Digital Assurance Platform), designed to enable organizations to automate compliance workflows, monitor controls, validate evidence, assess risks, and generate actionable insights through advanced analytics and AI-driven capabilities, integrated with enterprise systems and cloud environments.

You may use the Services only if you are at least eighteen (18) years of age and possess the legal capacity to enter into a binding agreement under applicable laws. If you are using the Services on behalf of an entity, you confirm that you are duly authorized to act on behalf of such entity and to bind it to these Terms.

To access certain features of the Services, you may be required to create and maintain an account by providing accurate and complete information. You are solely responsible for maintaining the confidentiality of your login credentials, for all activities conducted under your account, and for promptly notifying us of any unauthorized access or security breaches.

You agree to use the Services only for lawful and authorized purposes and shall not engage in activities that compromise the integrity, security, or performance of the product and the platform, including but not limited to unauthorized access, use the platform for any illegal, fraudulent, or harmful activity, transmit viruses, malware, or engage in activities that harm or disrupt services, reverse engineering, data scraping, distribution of malicious content, or use of the Services in violation of applicable laws or regulations.

You are responsible for ensuring that all data uploaded, processed, or transmitted through the Services is accurate, lawful, and does not infringe the rights of any third party. You are also responsible for configuring appropriate access controls, user roles, and security settings, and for ensuring compliance with applicable regulatory obligations within your organization.

Pion Global may engage trusted third-party sub-processors to support the delivery of the Services, subject to contractual obligations ensuring appropriate data protection, confidentiality, and security standards.

Access to features of the product, platform and services may require payment of subscription fees or other charges as agreed between you and Pion Global. You agree to pay all applicable fees in a timely manner, including any taxes, and acknowledge that failure to do so may result in suspension or termination of your access to the product, platform and respective services.

All intellectual property rights in and to the product, platform and services, including software, design, trademarks, logos, content, branding, algorithms, tools and code associated with GRCNest and PIEDAP and underlying technology, are the intellectual property and owned by or licensed to Pion Global. Subject to these Terms, you are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Services solely for your internal business purposes.

You acknowledge that:

• PIEDAP and all associated materials are protected by copyright, trademark, and other intellectual property laws.
• No rights or ownership are transferred to you through your use of the platform.
• You may not use Pion Global trademarks or logos without express written consent from Pion Global.

You retain all rights, title, and interest in and to the data you upload or process through the Services (“Customer Data”), and Pion Global shall process such data solely for the purpose of providing, maintaining, and improving the Services in accordance with applicable laws and contractual obligations.

While we strive to ensure high availability and reliability of the Services, we do not guarantee uninterrupted or error-free operation, and access may be affected by maintenance activities, system upgrades, or factors beyond our control.

GRCNest leverages AI technologies to generate insights, recommendations, and automated outputs; however, such outputs are advisory in nature and should not be solely relied upon for legal, regulatory, or financial decision-making without appropriate human validation.

The Services are designed to align with globally recognized frameworks such as ISO/IEC 27001, SOC 2 Trust Services Criteria, GDPR, and DPDP, supporting organizations in achieving compliance and governance objectives.

GRCNest facilitates compliance through automation, monitoring, and insights but does not guarantee regulatory certification, audit outcomes, or compliance status. Customers are expected to take independent audit by external auditors to audit/certify their systems.

Risk insights generated by the platform are predictive and informational in nature and should be evaluated by users before making operational or strategic decisions.

Control validation results are dependent on configured integrations, available data, and system configurations, and may vary based on user inputs and environmental factors. This should be evaluated by users before making operational or strategic decisions.

Users are responsible for maintaining appropriate security practices, including safeguarding credentials, enabling security features such as multi-factor authentication, and ensuring proper user access management within their organization.

The Services are provided on an “as is” and “as available” basis without any warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the platform will meet all user expectations or that it will be free of defects or vulnerabilities.

To the maximum extent permitted by applicable law, Pion Global shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits or revenues, data, or business opportunities, arising out of or in connection with the use or inability to use the Services, unauthorized access to or alteration of your data, any conduct or content of third parties on the Website. In no event shall our total liability exceed the amount paid by you (if any) for the use of the GRCNest product and PIEDAP platform in the six (6) months preceding the claim.

You agree to indemnify, defend, and hold harmless Pion Global and its affiliates from and against any claims, damages, liabilities, costs, or expenses arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

Pion Global reserve the right to temporarily suspend access to the Services without prior notice where necessary to protect system integrity, investigate security incidents, comply with legal obligations, or perform maintenance activities.

Pion Global may terminate or suspend your access to the Services at its discretion, including for violations of these Terms, non-payment, your account remains inactive or unpaid for extended periods, we receive requests from regulatory or legal authorities or security concerns, and you may discontinue use of the Services in accordance with applicable contractual terms.

Upon termination, your right to use the platform ends immediately, and we may delete or restrict access to related data, unless otherwise governed by contract.

You may not assign or transfer your rights or obligations under these Terms without prior written consent, while Pion Global may assign its rights as part of mergers, acquisitions, or business restructuring.

Pion Global shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including natural disasters, acts of government, network failures, or other unforeseen circumstances.

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles, and subject to dispute resolution provisions, courts located in Bangalore, Karnataka shall have jurisdiction.

Any disputes arising out of or relating to these Terms shall be resolved through binding arbitration in accordance with applicable laws, with the seat and venue of arbitration in Bangalore, India, and the proceedings conducted in English.

Pion Global reserves the right to update or modify these Terms at any time, and such changes shall become effective upon publication on the platform, with continued use of the Services constituting acceptance of the revised Terms.
